The information contained in this document is confidential and is submitted on the understanding that it will be used only by the parties involved, the employees, concerned team members, and the management team Banyan Sustainable Waste Management Private Limited (“Banyan Nation”). 1. Introduction

  • Purpose: Banyan Nation (the “Company” or “We” or “we”) through this Investor Relations Policy (the “Policy”) aims to provide the following:
    • information about the Company, its management, operations, and financial situation as well as its prospects to the investors;
    • transparent and fair distribution of information to the investors along with the principles followed for engagement with investors, clear guidelines and procedures for disclosing information outside the Company;
    • clearly understandable information about the Company and corporate proposals.
    • prompt and proactive disclosure of all information relevant to all aspects of the Company’s operations.
  • Scope: This Policy governs communications (including but not limited to written, oral) by Company’s employees, independent contractors and directors with the investors and ensures transparent, fair information distribution, and maintain effective communications with them.

2. General Principles

  • The Company recognizes that effective communication with investors assists the creation and maintenance in the Company’s securities and enhances corporate governance by encouraging a culture of transparency in relation to the Company’s corporate activities and proposals.
  • The Company keeps investors fully informed of information that may have a material effect on the price or value of the Company’s securities by timely disclosure of information.
  • The Company encourages the development of effective communication tools to implement this Policy. In particular, the Company encourages electronic communications and participation in general meeting in accordance with this Policy.
  • The Company embraces, wherever practicable, new technologies that provide greater opportunities for more effective communication with its shareholders and improved access for shareholders, unable to be physically present at meetings.
  • In order to use electronic communications effectively and enable broader access to Company information by investors and stakeholders, the Company:
    • Places all relevant announcements and related information on the Company’s website after it has been internally approved;
    • Posts a transcript or summary of updates on the Company’s achievements or media briefings on the Company website and, where appropriate, consider a webcast or teleconference of such briefings or meetings;
    • Provides information about the previous year’s press releases or market announcements.

3. Investor Relations

  • Monitoring all of the Company’s business, corporate developments, investor discussions and communication activities, and ensuring that these are in compliance with this Policy.

  • Communicating effectively and efficiently with other investors of the Company regarding all securities that the Company has or may issue, establishing a long-term trust relationship.

4. Meetings

  • General meetings are used to communicate with shareholders and allow a reasonable opportunity for informed shareholder participation.

  • The Company sends the full text of notices and accompanying explanatory material and sends notices of meetings to shareholders by electronically and/or physically.

  • All material is kept by the Company in such a way that it can be reproduced in written form at any time. The material is also presented in a way that allows recipients to keep a copy of it, so they have ready access to it in the future.

5. Confidential Information

  • All the information regarding the Company, its operations, financial condition and future prospects, should be regarded as material and price-sensitive, and must be treated as confidential unless it is already in the public domain.

8. Modification

  • This Policy is subject to review as and when required for the purpose of effectiveness and updating the procedures.

  • The Company reserves the right to amend or modify this Policy in whole or in part, at any point in time, if required

9. Deviations

The Company has a Shareholders Agreement with the investors. In case of any discrepancy or deviations between the Company and the investors Shareholders Agreement shall prevail.
